By accessing or using our Website, you agree to be bound by these Terms. If you do not agree, you must not access or use the Website.

- ACL means the Australian Consumer Law in Schedule 2 of the Competition and Consumer Act 2010 (Cth).

- does not contain Prohibited Content (see clause 10.5).

- We may remove, restrict, or disable access to User Content at any time (without notice) where we reasonably believe it breaches these Terms or may cause harm or legal risk.
- Prohibited Content includes User Content that:
- is unlawful, defamatory, misleading, deceptive, or fraudulent;
- is offensive, obscene, abusive, harassing, threatening, hateful, or discriminatory;
- infringes IP, confidentiality, privacy, or publicity rights;
- contains malware or malicious code;
- is spam, advertising, or promotion without our consent;
- misrepresents it as endorsed by us; or
- enables or encourages illegal activity.
- Licence to us: You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, transmit, display, and otherwise use your User Content as necessary to operate, maintain, secure, and improve the Website and to provide services to you.
- If the Website allows you to submit User Content (e.g., forms, uploads, comments, portal data), you must ensure your User Content:
- Third-party links and services
- The Website may contain links to third-party websites, services, or resources (Third Party Services).
- We do not control and are not responsible for Third Party Services, including their content, availability, or privacy practices.
- our use of Third Party Services is at your own risk and may be subject to their terms.

- Limitation of liability
- To the maximum extent permitted by law, we exclude all liability for any loss or damage (whether direct, indirect, incidental, special, consequential, or exemplary) arising out of or in connection with:
- your access to or use of (or inability to access or use) the Website;
- reliance on any Content;
- any errors, omissions, interruptions, delays, or security vulnerabilities;
- any corruption, loss, or compromise of data;
- third-party links or services; and
- any unauthorised access to or use of our servers and/or any personal information stored therein.
- To the maximum extent permitted by law, we are not liable for:
- loss of profits, revenue, business, goodwill, anticipated savings, opportunity, or reputation;
- indirect or consequential loss; or
- any loss arising from cyber incidents outside our reasonable control.
- Where liability cannot be excluded but can be limited, our liability is limited (at our option) to:
- in the case of services—resupplying the services or paying the cost of resupply; and
- in the case of goods—repair, replacement, or paying the cost of repair/replacement.
- To the maximum extent permitted by law, we exclude all liability for any loss or damage (whether direct, indirect, incidental, special, consequential, or exemplary) arising out of or in connection with:
- Indemnity
- You indemnify us and our officers, employees, contractors, agents, and affiliates against all claims, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- your breach of these Terms;
- your misuse of the Website;
- your User Content (including claims it infringes third-party rights); or
- your breach of any law or regulation.
- We may require you to cooperate in the defence of any claim. We may assume control of the defence and settlement of any claim that is subject to your indemnity (subject to law).
- You indemnify us and our officers, employees, contractors, agents, and affiliates against all claims, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Viruses, security, and prohibited interference
- You must not introduce malware or harmful material into the Website or attempt unauthorised access to the Website, servers, or related systems.
- You should use up-to-date antivirus and security software.
- We may report suspected unlawful activity (including cyber offences) to relevant authorities and may disclose information as required by law.
- Privacy
- We collect, use, store, and disclose personal information in accordance with our Privacy Policy .
- By using the Website, you consent to our handling of personal information as set out in the Privacy Policy.
- Complaints and takedown requests
- If you believe Content on the Website infringes your rights (including IP rights), please contact us at welcome@cepenergy.com.au with sufficient details to investigate.
- We may remove or disable access to Content where we consider it appropriate or legally required.
- Termination
- We may terminate or suspend your access to the Website (including Customer Portal) immediately and without notice if:
- you breach these Terms;
- we reasonably suspect misuse, fraud, or security risks; or
- we are required to do so by law.
- Clauses which by their nature should survive termination will survive, including clauses 9 (IP), 12 (Disclaimers), 13 (Limitation of liability), 14 (Indemnity), and 21 (Governing law).
- We may terminate or suspend your access to the Website (including Customer Portal) immediately and without notice if:
- Changes to these Terms
- We may update these Terms at any time by publishing revised Terms on the Website.
- Unless we are required by law to provide notice in another way, changes take effect from the updated effective date.
- Your continued use of the Website after changes are published constitutes acceptance of the updated Terms.
- Governing law and jurisdiction
- These Terms are governed by the laws of New South Wales, Australia and applicable Commonwealth laws.
- You submit to the exclusive jurisdiction of the courts of New South Wales.
- General
- Severability: If any provision is invalid or unenforceable, it will be read down or severed to the minimum extent necessary without affecting the remaining provisions.
- No waiver: Failure to enforce a provision is not a waiver.
- Assignment: We may assign or transfer our rights and obligations under these Terms. You may not assign without our written consent.
22.4 Entire agreement: These Terms (and documents referred to) form the entire agreement relating to your use of the Website.
